Terms & Conditions
1. Parties
These Terms & Conditions ("Terms") govern the relationship between AgileCatalyst.AI Ltd, a company incorporated in the Dubai International Financial Centre (DIFC), Dubai, UAE ("Joshou", "we", "us") — the owner and operator of the Joshou platform — and any individual or entity ("Customer", "you") that accesses or uses the Joshou platform or website at joshou.ai. These Terms, together with your selected subscription plan, constitute the entire agreement between the parties and supersede all prior representations, negotiations, understandings, and communications, whether written or oral.
2. Platform & Services
Joshou is an AI-native editorial studio and SEO console: it produces AI-drafted, human-reviewed articles for your website ("Content Studio") and reports on organic search performance sourced from your own connected Google Search Console and Google Analytics properties ("SEO Console"), developed and owned by AgileCatalyst.AI Ltd. No AI-generated article is published without a human approving it within your account first.
3. Account & Access
Access is via Google sign-in. You are responsible for maintaining the security of your Google account and for all activity under your organization's account, including the actions of any teammate you invite. You must notify us immediately at compliance@agilecatalyst.ai of any unauthorized access. We reserve the right to suspend or terminate accounts that violate these Terms.
4. Acceptable Use
You agree not to:
- Use the platform for any unlawful purpose or in violation of applicable regulations.
- Attempt to reverse-engineer, copy, or extract the platform's source code or prompts.
- Direct the platform to generate content that infringes third-party intellectual property, is defamatory, or violates applicable law.
- Misuse the Google OAuth access you grant Joshou to your Search Console or Analytics properties beyond retrieving your own site's performance data.
- Use the platform to train a competing AI model without prior written consent.
- Exceed the article, site, or seat limits of your subscription plan by circumventing metering.
5. Data & AI Processing
Joshou is a shared, multi-tenant SaaS platform (not a per-customer isolated deployment). Article drafting uses Anthropic's Claude models, with Groq as an automatic fallback if a step fails — on the Agency plan, you may instead supply your own Anthropic API key, in which case your generation requests are billed by Anthropic directly and processed under Anthropic's own terms. Where we process your data to operate the platform, we act as a data processor under your instructions; you remain the data controller for your site content and are responsible for ensuring you have the right to process it.
6. Intellectual Property
The Joshou platform, including its software, prompts, and scoring methodology, is proprietary to AgileCatalyst.AI Ltd. Nothing in these Terms transfers ownership of any platform intellectual property to you. You retain full ownership of your site configuration, connected data, and any article generated within your account once you approve it.
7. Fees & Payment
Joshou is billed monthly in advance via Stripe on the plan (Starter, Growth, or Agency) you select, and renews automatically each billing period until cancelled. You can change or cancel your plan at any time from Settings; changes take effect on a prorated basis. Fees are non-refundable except where required by law. We reserve the right to suspend access for accounts with a failed or overdue payment after reasonable notice.
8. Limitation of Liability
To the fullest extent permitted by applicable law, our total aggregate liability shall not exceed the fees paid by you in the three (3) months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including loss of data, revenue, or business opportunity arising from platform use, nor for the accuracy of AI-generated content you choose to publish.
Nothing in these Terms limits or excludes liability for: (a) fraud or fraudulent misrepresentation; (b) death or personal injury caused by negligence; (c) gross negligence or wilful misconduct; or (d) any other liability that cannot be excluded or limited under applicable DIFC law.
9. Warranties & Disclaimers
The platform is provided with reasonable professional care and skill. We do not warrant uninterrupted availability or error-free operation. AI-generated drafts are a starting point for your own human review, not a guarantee of factual accuracy, search ranking, or fitness for any particular purpose — you are responsible for reviewing and approving every article before it is published or relied on.
10. Force Majeure
Neither party shall be liable for any delay or failure to perform its obligations to the extent caused by circumstances beyond its reasonable control, including acts of God, pandemic, war, civil unrest, government action, or failure of third-party cloud or AI infrastructure ("Force Majeure Event"). The affected party must notify the other in writing within 5 business days. If the event continues for more than 60 days, either party may terminate the affected agreement without penalty, subject to payment for services rendered.
11. Termination
You may cancel your subscription at any time from Settings; cancellation takes effect at the end of the current billing period. We may terminate or suspend accounts immediately for material breach of these Terms, including misuse of the platform, if the breach is not cured within 14 days of written notice. Upon termination, your access will be revoked and we will facilitate export of your data for 30 days.
12. Governing Law & Dispute Resolution
These Terms are governed by the laws of the DIFC, Dubai, UAE. The parties shall first attempt to resolve any dispute through good-faith negotiation within 30 days of written notice. If unresolved, either party may elect to refer the dispute to: (a) the DIFC Courts of First Instance; or (b) arbitration administered by the Dubai International Arbitration Centre (DIAC) under its applicable rules, with the seat of arbitration in Dubai and proceedings conducted in English. For undisputed claims below AED 500,000, the DIFC Small Claims Tribunal may be used.
